OJSC MMC Norilsk Nickel has announced that RiskMetrics/ISS Governance Services released its analysis and voting recommendations for the June 30th 2009 Annual General Meeting of MMC Norilsk Nickel shareholders.
RiskMetrics/ISS is the world’s leading independent corporate governance and proxy voting advisory service which provides voting recommendations to more than 1,700 major institutional funds, mutual funds and fiduciaries.
With respect to item 5 of the AGM's agenda, RiskMetrics/ISS recommended that shareholders cumulate all of their votes for independent directors.
Bradford A Mills and John Gerard Holden and not vote for any other candidate. Their analysis noted the high importance of electing independent directors to the board. RiskMetrics/ISS recommendations coincide with recommendations of Norilsk Nickel’s Board of Directors regarding this item.
RiskMetrics/ISS also recommended that Norilsk Nickel shareholders approve annual report of the company, financial statements for 2008, make a decision not to pay dividends and loss indemnity, support the proposed New Editions of the Charter, Regulations on the Board of Directors and Regulations on the Management Board.
